UK, France and Germany Subsidiary Management Seminar 2024Case Study on Dismissal of Local Officers

Last year and the year before, 3CS Corporate Solicitors conducted seminars in Japan on the theme of “Expanding to the UK”, mainly for Japanese companies planning to expand to the UK. This year's seminar will focus on the issue of overseas subsidiary management faced by the headquarters of Japanese companies expanding overseas.

“Dismissal of local officers” is one of the issues that many Japanese companies face in managing their overseas subsidiaries. In this seminar, we will take into consideration the fact that legal systems and practices in each country differ greatly, we will compare dismissal of local officers in the UK, France, and Germany. The feature of this seminar is that it not only compares the differences in the laws of the three countries, but also explains from a practical and realistic perspective, through case-based analysis, the mistakes that Japanese companies are likely to make and points that are often overlooked by experienced solicitors from each country.

The latest developments in the legal systems of various countries will also be presented.

The main topics to be covered in this seminar are

  • Typical forms of corporations and typical examples taken by Japanese companies in Local Countries
  • Duties and responsibilities of directors and officers - commonalities and characteristics of each country
  • Practical flow and points to note when dismissing directors and officers through case studies
  • Latest trends in legal systems in each country

For companies that have already established subsidiaries abroad or are considering establishing subsidiaries in any country in the future, it is essential to manage and consider multiple areas of law, including employment, immigration, corporate, and property law. It is also important to know in advance not only the entrances but also the exits.
